Legal Counsel – Commercial (Costa Rica)

About the role

Cornerstone is establishing a new hub in Costa Rica and seeks a Legal Counsel to support its commercial SaaS operations. The role will work closely with sales, finance and the Vice President Legal to manage contracts and corporate matters.

Key responsibilities

• Draft and negotiate SaaS subscription agreements and other commercial contracts with customers and partners.
• Provide legal support to Sales, Sales Ops, Finance and Accounting teams, advising on deal structure, risks and liabilities.
• Collaborate with business executives and sales managers to devise commercial strategies and solutions.
• Review and respond to ad‑hoc legal queries, including corporate, regulatory, IT and technology matters.
• Manage contractual disputes, interpretation and support the company’s legal and corporate affairs.

Required profile

• Law degree and active membership in the Costa Rica Bar Association.
• Minimum 5 years of substantive commercial and technology transaction experience, preferably in‑house at a SaaS company.
• Proven ability to draft and negotiate a wide range of commercial contracts with strong attention to detail.
• Excellent written and spoken English and strong analytical and problem‑solving skills.
• Experience working closely with sales teams in high‑growth, fast‑paced environments.
