Legal Counsel – Corporate & Technology Transactions

About the role

Fragomen is seeking a highly motivated Legal Counsel to join its globally integrated Office of General Counsel. Reporting to the Associate General Counsel for Latin America, the role supports Fragomen’s LATAM offices and collaborates with OGC colleagues worldwide on corporate transactional matters.

Key responsibilities

• Negotiate, draft, and review a high volume of client and vendor commercial agreements, including SaaS, data processing addenda, software licensing, and IT services contracts.
• Work with business and IT teams to assess and negotiate technology vendor agreements and platform partnerships supporting digital transformation initiatives.
• Handle general corporate transactional matters such as commercial leases, IP portfolio oversight, and client compliance requests.
• Conduct third‑party due diligence on vendors, especially local counsel, and respond to contractual/compliance inquiries.
• Support sanctions compliance by preparing training and advising on permissible work under sanctions programs.
• Perform corporate secretarial duties and attend to key governance functions.
• Participate in ad‑hoc projects, including new office openings.

Required profile

• Licenciatura degree and an active bar license.
• Minimum 5 years of experience in a law firm or in‑house legal department with a focus on commercial contracts, technology agreements, or related international practice.
• Strong preference for experience advising IT companies or clients on technology agreements such as SaaS, cloud, and IT services contracts.
